Form W-3: The W-2 Transmittal Form Employers Need to Understand

What Is Form W-3 Used For?
Form W-3 functions as a cover sheet and verification tool. When the SSA receives a batch of paper W-2s, the W-3 allows them to confirm that the sum of wages and taxes across all individual forms matches the totals the employer reported. Any discrepancy between the W-3 totals and the individual W-2s signals an error that needs to be resolved.
The W-3 serves the same structural purpose for W-2s that Form 1096 serves for paper 1099s sent to the IRS. Both are transmittal forms that summarize and bundle paper filings. Neither is required when the underlying forms are filed electronically.
When Is Form W-3 NOT Required?
Employers who file W-2s through the SSA's Business Services Online portal don't complete Form W-3 separately. The BSO system generates the transmittal summary automatically as part of the electronic submission. As of 2024, employers filing 10 or more W-2s are required to e-file through BSO. That threshold was lowered from 250, which means the large majority of employers with any meaningful payroll are now required to e-file and will never interact with a paper Form W-3.
Paper filing remains an option only for employers with fewer than 10 W-2s. For everyone else, e-filing is mandatory and W-3 is handled by the system.
How to Complete Form W-3
For employers who do file on paper, the form collects identifying information and aggregated payroll totals. Box b captures the employer identification number. Box c captures the employer's name and address. Box 1 reports total wages and tips across all W-2s filed, which must equal the sum of Box 1 on every individual W-2. Box 2 reports total federal income tax withheld. Boxes 3 through 6 report Social Security and Medicare wages and taxes in aggregate. Box 12 codes are carried over from the individual W-2s. Two checkboxes identify the type of payer and type of employer, which affect how the SSA processes the filing.
The arithmetic on a W-3 should require no judgment. Every number is a sum of the corresponding boxes across all W-2s in the batch. If the totals don't match, the error is in one of the underlying W-2s.
Form W-3 Filing Deadline
Form W-3 is due January 31, the same deadline that applies to W-2s. Both the individual W-2s and the accompanying W-3 must reach the SSA by that date, whether submitted on paper or electronically. There's no separate or extended window for the transmittal form.
Form W-3 vs. Form W-3c: Correcting Errors
When W-2 errors are discovered after filing and corrected W-2c forms are issued, employers must also file Form W-3c alongside those corrections. Form W-3c is the corrected transmittal that summarizes the changes reflected across all W-2c forms being submitted. It shows both the previously reported figures and the corrected figures for each relevant box, allowing the SSA to update their records accurately. A W-2c submitted without a corresponding W-3c is an incomplete correction.
