Who Must File Form 1065?

Form 1065 is required for domestic partnerships, multi-member LLCs taxed as partnerships, and foreign partnerships with US-source income. Single-member LLCs report business income on Schedule C instead. Standard corporations file Form 1120; S-corps file Form 1120-S. What Is Schedule K-1 and How Does It Connect to Form 1065?

Form 1065 generates a Schedule K-1 for every partner in the partnership. Each K-1 shows that partner's allocated share of income, deductions, credits, and other tax items for the year. Partners use their K-1 to complete their own individual or business tax returns — they don't file Form 1065 themselves.

The accuracy of every K-1 depends on two things: the partnership agreement (which governs how income and losses are split) and ongoing capital account tracking. If capital accounts aren't maintained throughout the year, allocations become difficult to substantiate and K-1s are more likely to contain errors.

Key Sections of Form 1065

The income section captures gross receipts, cost of goods sold, and other income sources to arrive at total partnership income. The deductions section covers salaries and wages, rent, depreciation, and other allowable business expenses.

Beyond the main form, several schedules are required. Schedule B collects additional information about the partnership structure and activities. Schedule K summarizes each partner's distributive share of income, deductions, and credits — this is the source data that flows into individual K-1s. Schedule L is the partnership's balance sheet as of the beginning and end of the tax year. Schedules M-1 and M-2 reconcile the partnership's book income to its taxable income and track changes in partners' capital accounts over the year.

Form 1065 Filing Deadline and Extensions

Calendar-year partnerships must file Form 1065 by March 15. A six-month automatic extension is available by filing Form 7004, pushing the deadline to September 15. Note that the extension applies to filing, not to any tax owed at the partner level.

Late filing penalties for Form 1065 are assessed per partner per month, which makes them compound quickly for partnerships with multiple partners. Missing the deadline by even a few months on a five-partner LLC can result in a penalty far larger than most people expect.

Common Form 1065 Mistakes Partnerships Make

The most consequential errors tend to involve capital accounts and allocations. Incorrect partner capital account balances — often caused by not tracking contributions, draws, and profit allocations throughout the year — create downstream errors on Schedule L and M-2. Income misallocated in ways that don't match the partnership agreement creates K-1s that won't hold up to scrutiny. Other common issues include missing K-1s for one or more partners, failing to separately state guaranteed payments (which are treated differently from distributive share income), and not completing Schedule M-1 to reconcile book and tax income.
