Slash Global Account Terms of Use
Effective date:
These product-specific terms of use (“Global Account Terms”) govern your access to and use of your account services related to your fiat-denominated account interface through which you can create digital wallets; self-custody supported digital assets; and monitor, maintain, and transact with supported digital assets (the “Global Account”). Such services are made available to you through us in collaboration with third-party service providers accessible through our Website, mobile application, or API (collectively, the “Site”).
These Global Account Terms supplement and form part of the Slash Terms of Service available at https://www.slash.com/legal/terms-of-service (the “TOS”). If any provisions of these Global Account Terms conflict with the TOS, these Global Account Terms control only with respect to the Global Account, including all services and functionality related to your digital wallets and digital assets; otherwise, the TOS govern. Any capitalized terms herein refer to the capitalized terms in the TOS.
By agreeing to these terms, creating an account, or otherwise accessing the Site, you acknowledge that you have read, understood, and agree to be bound by both the Global Account Terms and the TOS. If you do not agree, do not use the Site.
1. Key Roles and Services
Slash Financial, Inc. (“Slash,” “we,” or “us”) is a financial technology company and is not a bank, trust company, money transmitter, broker-dealer, investment adviser, or money services business. Slash provides the user interface, branding, and customer support related to your use of the Global Account.
Slash itself does not (i) hold or custody any digital assets or fiat currency on your behalf, (ii) operate the wallet software through which you hold or transfer digital assets, (iii) operate any blockchain network on which digital assets are recorded, or (iv) hold any money-transmission, trust company, or e-money license in connection with the Global Account. The Global Account is delivered by integrating multiple independent third-party service providers (each a “Service Provider”), which include, without limitation, the Wallet Service Providers identified in Section 2, various licensed money transmitters and on-/off-ramp providers, and the Card Issuer identified in Section 7. The names of Service Providers may change from time to time and Slash may add to, remove, or substitute Service Providers in its discretion.
Through our Site and with the facilitation of the third-party service providers, you may perform the following functions: (i) convert fiat currency into USDC and/or EURC, which will be displayed on your Account; (ii) convert digital assets which are not USDC and/or EURC (“Other Tokens,” which include USDT) into USDC and/or EURC, which will be displayed on your Account; (iii) convert your USDC and/or EURC into fiat, deposited with our Account Providers (and displayed on your Account); (iv) convert your USDC and/or EURC into fiat, deposited with an external bank account at your direction (and not displayed on your Account); (v) convert USDC and/or EURC displayed on your Account into Other Tokens; and (vi) if you are eligible and have enrolled, use the Slash Spend Card (as defined in Section 7) to make Card transactions funded by your stablecoin balance. Other Tokens, including USDT, may be sent to and from the Global Account, but are not held as a balance in the Global Account.
The stablecoins supported in the Global Account are USDC and EURC. Each is issued by Circle Internet Financial and not by Slash. Slash has no direct contractual relationship with the issuer and accesses these stablecoins through independent third-party service providers. The reserve composition, peg, and redemption mechanics for each stablecoin are determined by the issuer under the issuer’s own terms. Any right to redeem USDC or EURC directly with the issuer is governed by the issuer’s terms and is a matter between you and the issuer; Slash does not process or guarantee redemptions, and within the Global Account you convert between supported assets rather than redeeming with the issuer.
Although Slash may display amounts related to your digital assets, Slash does not hold or have access to the underlying private key for your wallet. Depending on the wallet configuration and the features you use, Slash may have limited authority to initiate or facilitate transactions from your wallet pursuant to permissions or instructions you provide through the Site and these Global Account Terms. The balances and transaction information displayed in your Account reflect information obtained from the applicable blockchain and/or Wallet Service Provider and may not always be complete, current, or final. Amounts expressly identified as fiat balances are held with our Account Providers as described in the TOS. Any U.S.-dollar or euro value displayed for digital assets is an estimate only and does not represent fiat funds held with an Account Provider.
You authorize Slash to transmit your identifying information to any third-party service providers as required by anti-money-laundering and Travel-Rule regulations. You further acknowledge and agree that Slash and our Service Providers may (a) collect, verify, and maintain identifying information about you and any beneficial owners or controllers of your Account (including for know-your-customer (“KYC”) and know-your-business (“KYB”) purposes); (b) screen you, the wallets associated with your Account, and your transactions against U.S. and other applicable sanctions and watch lists (including those administered by the U.S. Office of Foreign Assets Control) on an initial and ongoing basis; (c) monitor transactions for suspicious activity and file reports with U.S. and other competent authorities as required by applicable law; and (d) comply with lawful orders or directives from U.S. or other governmental authorities, including orders directing a Wallet Service Provider, the Card Issuer, or a money transmitter to freeze, restrict, seize, or burn digital assets associated with your Account. Where Slash, a Service Provider, or any issuer is required to take such action by law, you agree that Slash will have no liability to you for the consequences.
2. Wallet Mechanics
All records of digital asset transactions are maintained on a decentralized ledger known as a blockchain, which itself is managed by independent parties (“Validators”) not under Slash’s control and typically not affiliated with each other. Your interactions involving any digital assets on our Site must be facilitated by a specialized interface that allows you to broadcast messages to be reviewed by Validators for inclusion on this decentralized ledger. This specialized user interface is commonly referred to as a “wallet,” and, for the Global Account, is a smart-account wallet provided by Horkos, Inc., d/b/a Privy (“Privy”) and Alchemy Insights, Inc. (together, the “Wallet Service Providers”), each an independent third-party service provider. The wallet is self-custodied by you. You access your wallet and authorize transactions using the Access Credentials described in Section 6, and you may request export of your wallet’s private key as described in that Section. Neither Slash nor any Wallet Service Provider is a custodian of your digital assets. Digital assets are recorded on the public blockchain networks that Slash supports from time to time; the supported networks may change, and sending digital assets to an address on a network that Slash does not support may result in the permanent loss of those assets.
Slash does not (a) hold or safeguard your digital assets (except for the limited movements you authorize under these Global Account Terms, including to settle Slash Spend Card transactions (as described in Section 7), to effect conversions you request, and to process refunds, reversals, recalls, returns, and applicable fees); (b) hold or safeguard any reserves backing any stablecoins; (c) provide any wallet-related services; (d) guarantee any redemption rights related to any stablecoins; or (e) otherwise provide money transmission, trust, or escrow services.
3. Fees
- Deposit: Up to 2% platform fee for USDC and/or EURC deposits.
- Payment: Up to 2% fee for USDC and/or EURC payments.
- Conversion Between USDC and/or EURC and fiat: Up to 1.75% fee.
- ACH Transfers: Up to $1 fee per transfer.
- Wire Transfers: Up to $30 fee per transfer.
- SWIFT Transfers: Up to $30 fee per transfer.
- Foreign Transaction Fee: Up to 1.5% for EUR/GBP/BRL/MXN/COP transfers.
- Minimum Transfer Amounts: $1 USD; 1 USDC; 1 EURC; 20 USDT.
Slash reserves the right to modify the fees at any time, in its sole discretion, and continued use of the Global Account will constitute consent to such changes. Slash will provide you with at least seven (7) days’ prior notice before any increase to the platform fees described above (other than changes in pass-through third-party fees that are outside Slash’s control), by posting the revised fees on the Site or sending you notice through the channels you have authorized Slash to use. All fees are non-cancelable and, except as expressly agreed in a separate written agreement with you, are non-refundable.
4. No Interest or Yield
Slash does not pay (and has no obligation to pay) interest, yield, or any other return on any balances displayed in your Global Account. The Global Account balance is not offered or marketed as a savings, deposit, investment, or security and is not intended to be a security, an investment contract, or any other “security” within the meaning of U.S. federal or state securities laws, and you should not acquire, hold, or use stablecoins with an expectation of profit, return, or appreciation derived from the entrepreneurial or managerial efforts of Slash, any stablecoin issuer, or any other person. Stablecoin balances are not deposits and are not insured by the Federal Deposit Insurance Corporation, the Securities Investor Protection Corporation, or any other governmental or private insurance program.
Rewards, if any, are promotional rebates funded solely by Slash and are not interest or yield. Slash does not currently offer any publicly available rewards in connection with holding stablecoins or using the Global Account.
5. Eligibility and Geographic Restrictions
The Global Account is available only to legal entities using it for business purposes. The individual accepting these Global Account Terms must be at least 18 years old and authorized to bind the entity. You represent to us that you will not make use of the Global Account in violation of any applicable law in any jurisdiction in which you are organized or operate. You must successfully complete the customer-identification, KYC or KYB, and beneficial-ownership verification procedures Slash applies to the Global Account on an initial and ongoing basis. Slash may at any time, with or without notice, suspend, restrict, or terminate your access to the Global Account where Slash determines, in its reasonable discretion, that such suspension, restriction, or termination is necessary or appropriate (a) to comply with applicable law or any lawful order or directive, including any sanctions, AML, or counter-terrorism financing requirements; (b) to address actual or suspected fraud, security, or operational risk; or (c) where any of your representations in these Global Account Terms or the TOS is or becomes inaccurate.
You represent you are not (a) located in, organized under the laws of, or a resident or national of, any jurisdiction that is comprehensively sanctioned by the U.S., including through the Office of Foreign Assets Control; or (b) listed on any U.S. government sanctions list, including the Specially Designated Nationals list. You are responsible for ensuring your use of the Site is lawful in your jurisdiction.
The Global Account is not currently available to entities based in New York or Alaska. Availability also depends on the eligibility and geographic restrictions applied by Slash and its Service Providers. Geographic, regulatory, and other eligibility limits apply, and are subject to change.
6. Account and Wallet
You agree to provide us with accurate information and to keep your Account current. You authorize Slash to share your Account information, as reasonably necessary, with our third-party service providers in order to provide all Global Account-related services, and otherwise as necessary for compliance or operational purposes. All such sharing is subject to Slash’s Privacy Policy available at https://www.slash.com/legal/privacy-policy.
Your wallet is provided by a Wallet Service Provider. Slash does not hold or have access to the underlying private key for your wallet. Depending on the wallet configuration and the features you use, Slash may have limited authority to initiate or facilitate transactions from your wallet in accordance with your instructions and these Global Account Terms. Your wallet is accessed through authentication methods made available by the Wallet Service Providers (which may include email, single sign-on, passkeys, or multi-factor authentication) and, a private key that you may request and export where supported by the Wallet Service Provider (collectively, “Access Credentials”). It is your responsibility to keep your Access Credentials secure and private and to maintain access to the authentication methods associated with your wallet. Any loss of access to your Access Credentials, including where no recovery method is available, may result in the permanent, irreversible loss of your digital assets, a risk for which you accept full responsibility. Slash does not operate the software related to your wallet, and cannot provide any loss recovery services related to your loss of the Access Credentials required for you to access digital assets in your wallet. Further information regarding your wallet can be found at the websites of the Wallet Service Providers: https://legal.alchemy.com/, https://privy.io/terms. Your use of the wallet is subject to the Alchemy Terms and Privy Terms.
7. Slash Spend Card
General. If you are eligible and have enrolled in the Slash Spend Card program, Slash makes available to you a Visa-branded payment card (in virtual or physical form, the “Slash Spend Card” or “Card”) that may be used at merchants that accept Visa. The Card is issued and operated by Rain Issuing, LLC or its applicable affiliate (the “Card Issuer”) as a principal member of Visa U.S.A. Inc. (“Visa”). Slash is not the issuer of the Card. Your use of the Card is governed by a separate cardholder agreement between you and the Card Issuer (the “Cardholder Agreement”), available at the URL identified by the Card Issuer from time to time. To the extent of any conflict between the Cardholder Agreement and these Global Account Terms with respect to the Card, the Cardholder Agreement controls.
Stablecoin collateral and settlement. The Card is funded by the stablecoin balance in your Global Account. When you initiate a Card transaction, Slash authorizes the transaction against the available stablecoin balance in your Global Account, which is reserved as collateral and as the source of repayment for that transaction. Upon settlement of the transaction, the corresponding stablecoin is transferred from your wallet to the Card Issuer’s settlement wallet; the Card Issuer then uses its own stablecoin balances to satisfy the corresponding Visa settlement obligation for the merchant transaction. The Card Issuer, not Slash, is responsible for settlement with Visa and the merchant. You are not directly settling with merchants or with Visa.
By enrolling in the Slash Spend Card program, you grant Slash and the Card Issuer a limited, revocable authorization to initiate the transfer of stablecoins from your wallet to the Card Issuer’s settlement wallet solely for the purpose of authorizing, settling, and reconciling Card transactions and related fees, refunds, reversals, chargebacks, disputes, and program operations. This authorization is purpose-limited and does not give Slash custody of your digital assets, the right to direct any movement of your digital assets other than as expressly authorized under these Global Account Terms, or any beneficial interest in your digital assets. You may revoke this authorization prospectively at any time by closing your Slash Spend Card; revocation does not affect any Card transaction that has already been initiated or authorized.
Eligibility; suspension. Card eligibility is determined by Slash and the Card Issuer and may be subject to additional KYC, KYB, and underwriting requirements. Slash or the Card Issuer may decline, suspend, or close your Card (or any individual transaction) at any time, including for sanctions, AML, fraud, security, operational, credit, or compliance reasons; for non-payment; or where you fail to maintain sufficient stablecoin collateral. Suspension or closure of the Card does not by itself close your Global Account.
Lost or stolen Cards; unauthorized use; disputes. Your rights and responsibilities with respect to lost or stolen Cards, unauthorized Card transactions, and merchant disputes are governed by the Cardholder Agreement and the Visa scheme rules. You agree to report a lost or stolen Card, and any unauthorized Card transaction or suspected fraud, to Slash and the Card Issuer as soon as you become aware of it, and in any event within the timeframes set out in the Cardholder Agreement. Card transactions, like other digital asset transactions on the Site, may be subject to settlement timing and processing risks described in Section 8 and may not be reversible once settled on-chain.
Card not an issuance, deposit, or extension of credit by Slash. Slash is not a bank, is not the issuer of the Card, and does not extend credit to you in connection with the Card. Funds reserved as collateral for Card transactions are not deposits and are not insured by the Federal Deposit Insurance Corporation or any other governmental insurance program.
8. Additional Risks
By accessing or using the Site in any way, you represent and warrant that you understand, acknowledge, and accept the following risks, and you agree that Slash shall not be liable for any loss or claim arising from such risks, in each case to the maximum extent permitted by applicable law and subject to the limitations of liability set out in the TOS:
- The use of digital assets is an extremely novel technical area and is subject to material risks which may lead to total loss of user assets, especially where you no longer have possession of Access Credentials related to your wallet. All digital asset transactions involve the use of smart contracts that are subject to many known and unknown risks, including smart contract exploits of the actual smart contract code to produce outcomes different than those the original smart contract was designed to achieve, and cyberattacks intended to gain unauthorized control of the smart contracts or associated systems.
- That you accept all risks associated with using any interfaces provided by Slash related to the use of your Global Account (“Slash Interfaces”). All interfaces, including the Slash Interfaces, are subject to many known and unknown risks. You are not required to use the Slash Interfaces, nor are we advising you in any way to use them. Each interface is subject to many risks, including the interface domain becoming compromised, and you interact with interfaces, including the Slash Interfaces, at your own risk.
- That Slash will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the Site, however caused. Slash takes no responsibility for and will not be liable for any losses, damages or claims arising from the use of the Site including, but not limited to, any losses, damages or claims arising from:
- Passwords being "Bruteforced",
- Server failure or data loss,
- Forgotten passwords,
- Corrupted wallet files,
- Incorrectly constructed transactions or mistyped blockchain network addresses
- Unauthorized access to mobile applications; or
- “Phishing,” viruses, third-party attacks or any other unauthorized third-party activities.
- The inherent risks associated with cryptographic systems and blockchain-based networks; digital assets, including the usage and intricacies of native digital assets; smart contract-based tokens; and systems that interact with blockchain-based networks. Slash does not own or control any of the underlying software through which blockchain networks are formed. In general, the software underlying blockchain networks is open source, such that anyone can use, copy, modify, and distribute it.
- (i) Slash is not responsible for the operation of the software and networks underlying any digital assets, (ii) there exists no guarantee of the functionality, security, or availability of that software and networks, and (iii) that the underlying networks are subject to sudden changes in operating rules, such as those commonly referred to as “forks,” which may materially affect your use of any digital assets.
- The Site and your digital assets could be impacted by one or more regulatory inquiries or regulatory actions, which could impede or limit the ability of Slash to continue to make available any portion(s) of the Site that rely on any Slash proprietary software and, thus, could impede or limit your ability to access or use the Site.
- Cryptography is a progressing field with advances in code cracking or other technical advancements, such as the development of quantum computers, which may present risks to digital assets, and could result in the theft or loss of your digital assets.
- The Site is subject to flaws, and that you are solely responsible for evaluating any code provided by the Site. This warning and others Slash provides is in no way evidence of, and nor does it represent an on-going duty to alert you to all of the potential risks of using or accessing the Site.
- Although we intend to provide accurate and timely information on the Site, the Site and other information available when using the Site may not always be entirely accurate, complete, or current and may also include technical inaccuracies or typographical errors. To continue to provide you with as complete and accurate information as possible, information may be changed or updated from time to time without notice, including, without limitation, information regarding our policies. Accordingly, you should verify all information before relying on it, and all decisions based on information contained on the Site are your sole responsibility. No representation is made as to the accuracy, completeness, or appropriateness for any particular purpose of any pricing information distributed via the Site. Prices and pricing information may be higher or lower than prices available on platforms providing similar services.
- Transactions entered into in connection with digital assets are irreversible, final and there are no refunds (other than as expressly provided under the Cardholder Agreement and the Visa scheme rules with respect to Card transactions, or as required by applicable law). Each stablecoin issuer may refuse mint or burn requests that violate law or issuer policy. You acknowledge and agree that you will access and use the Site at your own risk. The risk of loss in transacting in digital assets can be substantial. You should, therefore, carefully consider whether such transactions are suitable for you in light of your circumstances and financial resources.
- You have been, are, and will be solely responsible for making your independent appraisal and investigations into the risks of a given transaction and the underlying digital assets. You represent that you have sufficient knowledge, market sophistication, professional advice, and experience to make your evaluation of the merits and risks of any transaction conducted in connection with the Site or any digital asset. You accept all consequences of using the Site, including the risk that you may lose access to your digital assets indefinitely. All transaction decisions are made solely by you. Subject to the limitations of liability and disclaimers set out in the TOS, and to the maximum extent permitted by applicable law, we accept no responsibility whatsoever for, and will not be liable to you in connection with, your use of the Site for performing digital asset transactions.
- We must comply with applicable law, which may require us to, upon request by government agencies, take certain actions or provide information, which may not be in your best interests.
- USDC, EURC, and any other digital assets are issued by independent third-party issuers, and the reserve composition, reserve sufficiency, custody arrangements, redemption mechanics, and ongoing financial condition of each issuer are determined by that issuer and are outside Slash’s control. The value, redeemability, and continued existence of digital assets depend on the operations and solvency of the applicable issuer, and on the reserve assets and custodians selected by that issuer. Different stablecoins have different reserve and redemption mechanics. Slash does not guarantee, and is not responsible for, the performance, solvency, or compliance of any issuer, any reserve custodian, or any digital assets, including USDC and EURC.
- The Slash Spend Card program described in Section 7 is subject to a range of additional risks, including (a) the operational, financial, and regulatory condition of the Card Issuer, Visa, and the licensed money transmitters and acquirers in the Card settlement chain; (b) the irreversibility of on-chain settlement once initiated; (c) suspension or termination of the Card program by Slash, the Card Issuer, Visa, or a regulator, on short or no notice; (d) potential delays or failures in matching, authorization, settlement, refund, reversal, or chargeback processing; and (e) loss, theft, or unauthorized use of the Card.
- The U.S. legal and regulatory framework for stablecoins and other digital assets is in transition, including under the GENIUS Act and related rules promulgated or proposed by the U.S. Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation, the U.S. Department of the Treasury (including the Financial Crimes Enforcement Network and the Office of Foreign Assets Control), the Securities and Exchange Commission, the Commodity Futures Trading Commission, and state regulators. Future rulemakings, interpretations, enforcement actions, and legislation may require Slash, an issuer, a Wallet Service Provider, the Card Issuer, or a money transmitter to modify, suspend, or discontinue some or all of the functions of the Global Account on short notice, and may affect the regulatory classification, transferability, or availability of stablecoins.
- Tax treatment of digital assets, including USDC, EURC, and Other Tokens, varies by jurisdiction and is subject to change. You are solely responsible for determining the tax consequences of your acquisition, holding, transfer, conversion, and disposition of digital assets through the Global Account, including any reporting obligations (for example, broker reporting on IRS Form 1099-DA, where applicable). Slash does not provide tax advice.
9. Miscellaneous
All terms related to the use of intellectual property rights, limitations of liability, disclaimers, indemnification, dispute resolution, governing law, modification of terms, and termination or suspension of services, are governed by the TOS. Please review the TOS carefully; those provisions apply to your use of the Site and Global Account services provided therein to the fullest extent permitted by law.
