Slash Invoice Payer Terms and ACH Debit Authorization

Slash provides software and payment facilitation services; banking and payment processing services may be provided by Slash’s bank partners and payment processors. These Slash Invoice Payer Terms and ACH Debit Authorization (these “Payer Terms”) govern your (the “Paying Entity”) use of the Slash-hosted invoice payment experience and your authorization of ACH debits to pay invoices you receive from merchants that use Slash’s invoicing product.
By clicking “Pay,” “Authorize,” “Submit,” or a similar button, or otherwise paying an invoice through the Slash-hosted payment flow, you agree to these Payer Terms.
1. Definitions
- “ACH” means the Automated Clearing House network.
- “Invoice” means a bill or payment request issued by a Merchant through Slash’s invoicing product.
- “Invoice Payment” means a payment you submit through the Slash payment flow in response to an Invoice or a Recurring Payment Plan.
- “Merchant” means the Slash business customer that sent you the Invoice and that will receive the funds (the invoice sender).
- “Payment Account” means the business or commercial bank account, which is established in the name of, or maintained for the benefit of, the Paying Entity (and is not a personal, family, or household account), that you designate for an Invoice Payment.
- “Paying Entity” means a corporation, limited liability company, partnership, sole proprietorship, or other legal entity organized or operated for business or commercial purposes. For clarity, a Paying Entity does not include an individual acting in a personal, family, or household capacity.
- “Payment Page” means the web page or other interface provided by Slash that allows you to review and pay an Invoice.
- “Payment Instruction” means the payment details you confirm on the Payment Page (including amount, Payment Account, and any timing or scheduling presented to you).
- “Nacha Rules” means the operating rules of Nacha that apply to ACH entries.
- “Recurring Payment Plan” means an optional payment arrangement you authorize through the Payment Page that permits a Merchant to initiate recurring ACH debit Entries (which may be fixed-amount recurring Entries or variable-amount “auto-pull” Entries) from your Payment Account without requiring you to confirm each individual Invoice Payment.
- “Recurring Entry” means an Entry initiated under a Recurring Payment Plan.
2. Scope, roles, and relationship to the Merchant
- You are paying the Merchant, not Slash. The Invoice is provided by the Merchant; the Merchant is responsible for the goods or services (if any), the accuracy of the Invoice, and any refunds or credits.
- Slash’s role is limited. Slash provides the Payment Page and facilitates payment processing as a technical and administrative service provider to the Merchant through its service providers (including bank partners and payment processors). For purposes of the Nacha Rules, the Merchant is the “Originator” of any ACH Entry, and Slash acts as a third-party service provider to the Merchant. Slash is not a party to your underlying transaction with the Merchant.
- No Slash Account required. These Payer Terms apply even if you do not have, and do not create, a Slash Account (as defined in the Slash Terms of Service).
- Commercial Purpose. All Entries are processed for commercial purposes and governed by the Nacha Rules for commercial transactions. You acknowledge that the Electronic Funds Transfer Act and related consumer protection laws do not apply to any Entry processed in accordance with the Payer Terms.
3. Eligibility and authority
By paying an Invoice through the Payment Page, you represent that:
- you are at least 18 years old (or the age of majority where you reside),
- you own the Payment Account or you are an authorized signer or otherwise have authority to authorize debits from the Payment Account, and the Payment Account is a business or commercial account (not a personal or consumer account), and you are using the Payment Page solely for business or commercial purposes, and
- you are authorized to bind the Paying Entity to these Payer Terms.
4. Payment account entry, verification, and third-party providers
- Verification. Slash and its service providers may use reasonable methods to verify the Payment Account and reduce fraud (which may include third-party account validation tools).
- Business accounts only. You may only use a business or commercial account as your Payment Account.
- Third-party services. You acknowledge that Slash uses third-party service providers (including processors, bank partners, and verification vendors) to facilitate Invoice Payments. You authorize Slash to share information about your Invoice Payment, Payment Account, and Payment Instructions with these providers as needed to process your Invoice Payment, manage risk, and comply with law.
- Saved accounts. If the Payment Page offers you the option to save your Payment Account for future Invoice Payments, you authorize Slash to store and use that Payment Account information for future Invoice Payments initiated by you, and for Entries initiated under a Recurring Payment Plan you authorize, until you remove it or request removal by contacting Slash Support.
5. ACH Debit Authorization
This Section 5 is the “ACH Debit Authorization” for Nacha purposes. Your acceptance of these Payer Terms and any Payment Instruction through the Payment Page constitutes your electronic signature of this authorization.
1. Authorization grant
By submitting an Invoice Payment using ACH, or by enrolling in a Recurring Payment Plan, you authorize:
- the Merchant, and
- Slash, and Slash’s bank partners, payment processors, and other service providers acting on the Merchant’s behalf,
to initiate ACH debit entries from your Payment Account in the amount and on the timing described in the Payment Instruction that you approve (each, an “Entry”).
This authorization is limited to:
- the Invoice Payment(s) you affirmatively approve through the Payment Page;
- any Recurring Entries initiated under a Recurring Payment Plan you enroll in through the Payment Page; and
- any re-initiations, reversals, corrections, or credits permitted under this section.
2. Confirmation required
Except for Recurring Entries initiated under a Recurring Payment Plan, no Entry will be initiated unless and until you confirm the Invoice Payment through the Payment Page (for example, by clicking “Pay” or “Authorize”).
3. Returned Entries and re-initiation
If an Entry is returned due to insufficient or uncollected funds, the Merchant may reinitiate the Entry up to two (2) additional times, to the extent permitted by the Nacha Rules (each, a “Reinitiated Entry”), and you authorize the Merchant to do so.
You acknowledge that your financial institution may charge fees in connection with returned Entries or Reinitiated Entries. Slash is not responsible for such fees.
4. Error correction and refunds
You authorize the Merchant (and Slash as its service provider) to initiate:
- Nacha-permitted reversal or correcting entries to correct an erroneous Entry, and
- credit entries to your Payment Account to process refunds initiated by the Merchant.
No additional debits may be initiated from your Payment Account unless you separately authorize them through the Payment Page (or otherwise provide a valid authorization to the Merchant).
5. Timing and settlement
You acknowledge that:
- an Entry may take multiple business days to settle, and
- processing times can vary based on weekends, holidays, risk checks, and operational constraints.
Slash does not guarantee when the Merchant will receive funds.
6. Recurring Entries
If you choose to enroll in a Recurring Payment Plan with a Merchant through the Payment Page, then you also authorize the Merchant (and Slash as its service provider) to initiate Recurring Entries from your Payment Account in accordance with the Payment Instruction for that Recurring Payment Plan.
- Recurring (fixed amount). A series of Recurring Entries for the same amount with the periodicity described in the Payment Instruction.
- Auto-Pull (variable amount). A series of Recurring Entries initiated each time the Merchant issues you an Invoice through Slash, for the amount shown on that Invoice, on the due date (or other timing described in the Payment Instruction), without requiring you to confirm each individual Invoice Payment.
You understand that this authorization for Recurring Entries will remain in full force and effect until you revoke it, and that the Merchant (and Slash as its service provider) may require at least three (3) business days’ prior notice to stop a scheduled Recurring Entry.
For Auto-Pull (variable amount) Recurring Entries, you agree that the applicable Invoice and any related communications through the Payment Page constitute notice of the amount and scheduled date of the Recurring Entry, and you agree to the notice period, if any, disclosed in the Payment Instruction.
6. Revocation, stop payments, and effect on in-flight payments
1. Revoking for future payments. You may revoke this ACH Debit Authorization for future Invoice Payments and Recurring Entries by:
- canceling a Recurring Payment Plan through the Payment Page or as otherwise described in the Payment Instruction,
- removing a saved Payment Account in the Payment Page or payment settings,
- contacting Slash Support at support@slash.com, and/or
- contacting the Merchant directly to revoke authorization for that Merchant.
2. In-flight Entries. Revocation may not affect any Entry or Reinitiated Entry that has already been initiated or is in process.
3. Stop payments. You may contact your bank to request a stop payment. Slash does not guarantee that a stop payment will be effective for an Entry already initiated, and you remain responsible for any bank fees or consequences associated with stop payment requests.
7. Errors, unauthorized payments, and disputes
- Notify promptly. If you believe an Invoice Payment was submitted in error or was unauthorized, notify the Merchant promptly and notify Slash Support at support@slash.com with the Invoice identifier, date, and amount.
- Merchant disputes. Disputes about the underlying goods or services, Invoice accuracy, or refunds are between you and the Merchant. Slash is not responsible for resolving such disputes.
- Information sharing. To help investigate issues or comply with legal obligations, Slash may share relevant information about your Invoice Payment with the Merchant, its processors, and financial institution partners.
8. Prohibited and restricted use
You agree not to use the Payment Page or submit Invoice Payments in a way that:
- violates any applicable law or regulation,
- is fraudulent or unauthorized,
- attempts to interfere with the operation, security, or integrity of the Payment Page, or
- involves sanctioned parties or prohibited jurisdictions (including persons or entities subject to restrictions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control).
Slash may refuse, delay, or block any Invoice Payment or Recurring Entry if reasonably necessary to manage risk or comply with law.
9. Privacy
Slash’s collection, use, and sharing of personal information in connection with Invoice Payments is described in Slash’s Privacy Policy. By using the Payment Page, you acknowledge that your information will be processed in accordance with that policy.
10. Disclaimers
- Payment Page provided “as is”. The Payment Page and related services are provided on an “as is” and “as available” basis. Slash does not guarantee uninterrupted access, error-free operation, or that processing will occur at any particular time.
- No responsibility for Merchant conduct. Slash does not endorse or guarantee any Merchant or any goods or services provided by a Merchant. The Merchant is responsible for the Invoice and for fulfilling its obligations to you.
11. Limitation of liability
To the maximum extent permitted by law:
- No indirect damages. Slash will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or related to an Invoice Payment or these Payer Terms, even if advised of the possibility of such damages.
- Cap. If Slash is found liable under any theory, Slash’s total liability for all claims related to a particular Invoice Payment will not exceed the lesser of (a) One Thousand Dollars ($1,000) and (b) the amount of the applicable Invoice Payment.
Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply only to the extent permitted.
12. Arbitration and class action waiver
Any dispute or claim arising from or relating to these Payer Terms, the Payment Page, or an Invoice Payment will be governed by the Federal Arbitration Act (the “FAA”), and submitted to arbitration before a single arbitrator of the American Arbitration Association (“AAA”) in accordance with the AAA’s Commercial Dispute Resolutions Procedures.
The arbitrator will apply the substantive law of the State of California, without regard to conflicts-of-law principles.
Class action waiver. You and Slash agree that any arbitration or proceeding will be conducted only on an individual basis, and not as a class, collective, consolidated, or representative action.
Injunctive relief for IP. Nothing in this Section limits Slash’s right to seek injunctive or equitable relief in state or federal courts in California for actual or threatened infringement or misappropriation of Slash’s intellectual property rights.
13. Changes to these Payer Terms
Slash may update these Payer Terms by posting an updated version on its website. The updated version will be effective as of the date posted. If you submit an Invoice Payment after the effective date, you agree to the updated Payer Terms.
14. Miscellaneous
- Assignment. You may not assign your rights or obligations under these Payer Terms. Slash may assign these Payer Terms as part of a corporate transaction or otherwise, in its sole discretion.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
